The Williams Mullen Antitrust Group frequently assists clients in a wide array of matters under the Hart-Scott-Rodino Antitrust Improvement Act, and has provided such assistance on some of the nation’s largest merger transactions of the last several years. We have assisted clients in the filing of HSR Notification Reports, negotiated with the DOJ/FTC to obtain clearance for transactions that raise potential competitive concerns and, on occasion, represented the interests of parties opposing the consummation of particular transactions on competitive grounds. Our antitrust attorneys have also assisted clients in obtaining regulatory approvals from state regulators when necessary.

  • Assisting a health care company complete its $1 billion merger 
  • Assisting an insurer with the state regulatory approvals required to complete its $2 billion merger 
  • Assisting a client in opposing a high-profile, multi-billion dollar merger transaction that would have reduced competition and caused consumer harm 
  • Assisting a client in the packaging industry avoid the issuance of a “Second Request,” which would have delayed consummation of its merger, despite a recommendation by the FTC staff that the transaction be challenged 
  • Advising clients on strategies for avoiding “gun-jumping” and other potential HSR violations
