Mr. Dallas has substantial experience providing business, legal and tax advice to C and S corporations, partnerships and limited liability companies. His transaction experience includes management buyouts, venture financings, shareholder derivative actions, workouts, freezeouts, tax free mergers, and leveraged and non leveraged stock and asset purchases for both public and private companies. He serves as general counsel for a variety of closely held businesses, including manufacturers, distributors, service providers, professional corporations and emerging technology companies. He has been named one of Virginia’s “Legal Elite” by Virginia Business magazine every year since 2002 and a “Super Lawyer” for Business/Corporate by Virginia Super Lawyers magazine since 2006. He is also listed in Best Lawyers in America for Venture Capital Law since 2007 and Corporate Law since 2008.

Mr. Dallas is the managing partner of the firm’s Charlottesville office and a member of the firm’s board of directors. He also serves on advisory boards for several other profit and non-profit organizations. He is a member of the Virginia State Bar and the American and Virginia bar associations, as well as the Charlottesville Business Innovative Council.

Before attending law school, Mr. Dallas worked as a consultant in Arthur Andersen & Company’s Management Information Consulting Division, where he designed, programmed, and installed custom information retrieval and reporting systems for government agencies and businesses.

Mr. Dallas received his law degree from the University of Virginia in 1987 and a bachelor of science degree in commerce from UVA’s McIntire School in 1982.
