Nona K. Massengill

Nona Massengill’s practice focuses on design and implementation of all types of employee benefit programs, with an emphasis on executive and nonqualified deferred compensation, stock incentive plans and non-stock equity-based compensation. She has extensive experience in addressing the deferred compensation requirements imposed by Internal Revenue Code section 409A. She assists publicly-traded and closely-held employers, tax-exempt entities, public pension funds, and executives with tax, securities, fiduciary and business aspects of employee benefits, employment agreements and severance arrangements.

Ms. Massengill provides guidance on the ERISA aspects of private equity investments, including compliance with the “plan asset” rules. She helps clients obtain prohibited transaction exemptions and understands related excise tax and U.S. Department of Labor rules that impact business transactions.

Ms. Massengill has worked extensively with stock and other types of equity-based incentive plans, including shareholder approval issues and reporting and liability advice for stock and phantom stock components of deferred compensation plans. Ms. Massengill also has significant experience with nonqualified defined benefit and defined contribution plan design; strategies for avoiding and addressing the application of golden parachute excise taxes; quantifying golden parachute tax liability; proxy disclosure for executive compensation; consequences under the plan asset regulations for private equity investment by pension plans; administration of benefit plan demutualization proceeds in compliance with ERISA and applicable tax law; strategies for payment of executive benefits through funded and unfunded trusts and other means; and withholding of income and employment tax for various types of compensation and settlement payments. Before joining Williams Mullen, Ms. Massengill was an attorney with Hunton & Williams in Richmond. She is a member of the Virginia State Bar, and a former officer of the Central Virginia Employee Benefits Council.

Ms. Massengill received her juris doctor degree from the University of Virginia School of Law. She received bachelor of arts degree from the University of Virginia, where she was selected for Phi Beta Kappa.
