Vanessa focuses her practice on securities, public finance and corporate law. Her experience includes offerings of equity and debt securities for privately and publicly held companies as well as offerings of municipal bonds. Vanessa has assisted clients in various business matters, including entity formation, corporate governance and securities law compliance. She also has served as bond counsel, borrower’s counsel and bank counsel in various types of tax-exempt and taxable municipal bond financings.

Before joining Williams Mullen, Vanessa was an associate in the Corporate Finance Group at Skadden, Arps, Slate, Meagher & Flom LLP in New York. She is admitted to practice in Virginia and New York.

Vanessa is a member of the National Association of Bond Lawyers and the Virginia Bar Association. She serves on the board of trustees of the Virginia Museum of Contemporary Art and is a member of the board of directors of An Achievable Dream Virginia Beach.  Vanessa received both her Bachelor of Arts degree, magna cum laude, and her Juris Doctor degree from the University of Pennsylvania.

  • Represented financial services firm in an $18.9 million financing comprised of new equity capital as well as the refinancing of select existing securities.
  • Represented solid waste collection, disposal and recycling company in the $227 million sale of its business.
  • Represented growth-stage unnamed systems technology provider in two separate capital raises totaling over $4 million, all from high net worth individuals.
  • Represented various companies in the private placement of securities, including the preparation of private placement memoranda, securities purchase agreements and federal and state securities filings under Regulation D.

Public Finance:

  • Represented private real estate developer in issuance of $13,345,000 Multifamily Housing Revenue Bonds.
  • Represented private real estate developer in issuance of $6,660,000 Multifamily Housing Revenue Bonds.
  • Represented governmental issuer in issuance of $145,495,000 Capital Projects Revenue Bonds for transportation projects.
  • Represented local governmental entity in establishment of $37,000,000 Equipment Financing Program and initial issuance of $21,784,845 in lease obligations.
  • Advised nonprofit bioscience company regarding $30,000,000 Industrial Development Revenue and Refunding Bond.
  • Represented private real estate developer in issuance of $33,000,000 Multifamily Housing Revenue Bonds.
  • Served as bank counsel for $10,000,000 Airport Authority Revenue Bond in connection with financing for public university’s real estate foundation.
  • Represented local governmental entity in issuance of $143,965,000 Port Facilities Revenue Refunding Bonds, Series 2016A, $99,230,000 Port Facilities Revenue Bonds, Series 2016B, $37,335,000 Port Facilities Revenue Refunding Bond, Series 2016C and concurrent tender offer for certain outstanding senior lien bonds.
