Robert E. Spicer, Jr.
Rob Spicer is chair of the firm’s Corporate Finance & Securities team. He has extensive experience in corporate law, corporate finance and securities law matters, including public and private offerings of debt and equity securities, reporting under the Securities Exchange Act of 1934, corporate governance, insider trading, stock exchange listing requirements, anti-takeover defenses and fiduciary duties. He provides advice to clients on sophisticated and complex business transactions, including mergers and acquisitions, corporate restructurings, dispositions of subsidiaries or other assets, holding company formations and related matters.

Mr. Spicer has written articles on various topics and has lectured on securities law matters to numerous groups, including bar and trade organizations. In 1996, Mr. Spicer received his master of laws degree in securities regulation, with distinction, from Georgetown University.
Mr. Spicer is a member of the Richmond Bar Association, where he has served on various committees, including as chairman of the Continuing Legal Education Committee and the Mentor Program Committee. A member of the Virginia State Bar, he also belongs to the Business Law Sections of the Virginia and American Bar Associations. Mr. Spicer has been named one of Virginia’s “Legal Elite” by Virginia Business magazine and a “Super Lawyer” for Securities & Corporate Finance by Virginia Super Lawyers magazine. In addition, Martindale Hubbell has ranked Mr. Spicer an AV attorney, its highest rating available.
Prior to joining Williams Mullen in 1985, Mr. Spicer served as law clerk to the Honorable Blackwell N. Shelley, United States Bankruptcy Judge for the Eastern District of Virginia. He is a 1984 graduate of the University of Richmond School of Law, where he was a member of the University of Richmond Law Review. He received his bachelor of arts degree in political science in 1978 from Tulane University.
