Williams Mullen Representing Dogwood State Bank in its Merger with TowneBank
The Williams Mullen team consisting of David Paulson, Scott Richter, Ben McCall, Lee Lester, Nona Massengill, Allison Carlon, Conrad Garcia, Anna Derewenda and Philip Delano are representing Dogwood State Bank in its proposed merger with TowneBank. The stock for stock exchange is valued at $476.2 million.
With the transaction, Dogwood expands TowneBank’s market position in North Carolina and is an entry point to the South Carolina banking market. The transaction is expected to close in the first quarter of 2026 following the approval of Dogwood shareholders, and receipt of approvals from regulatory authorities and satisfaction of other customary closing conditions.
