Andrew White has served as a trusted advisor to emerging growth companies and middle-market companies for over 25 years.  Andrew serves his clients both in a general counsel capacity and as quarterback for the wide variety of transactions that private companies experience, including venture capital and debt financings, mergers and acquisitions, complex commercial contracts, joint ventures, restructurings, and entity conversions.  Much of Andrew’s work involves technology companies, including software, information technology, financial services, biotech, pharmaceutical, medical device, health care services, manufacturing and distribution, and food production companies. 

Andrew also represents religious organizations and nonprofits, serving as counsel to the Board of Trustees of the Virginia Annual Conference of The United Methodist Church and other exempt organizations, including both private foundations and public charities.

Andrew is listed in The Best Lawyers in America® for Corporate Governance Law (2016-present) and for Mergers and Acquisitions (2024), and, in 2019 and 2024 he was named the Best Lawyers® Richmond Corporate Governance “Lawyer of the Year.” He has been named among Virginia’s “Legal Elite” for Corporate Counsel (2016-2017 and 2019).

Andrew is a former president of Venture Forum RVA, the Richmond-based networking community for innovators, entrepreneurs, and capital providers. He is a former chairman of the Business Law Section of the Virginia Bar Association. He speaks frequently on topics related to emerging growth companies and LLCs.

Andrew earned his Juris Doctor degree from the University of Virginia, and he earned his Bachelor of Arts degree, magna cum laude, from Washington & Lee University, where he was inducted into Phi Beta Kappa.

  • Represented clients in approximately 100 seed stage, early growth, and expansion stage financings in transactions with high-net-worth angels, venture capital funds, and private equity investors
  • Represented numerous private companies in the purchase or sale of businesses
  • Represented numerous startups in choice of entity, formation, and initial capitalization transactions
  • Represented a pharmaceutical company in seed stage, early growth, and expansion stage financings, including a $110 million Series C financing to fund Phase 2 trials
  • Represented a smart space technology company in its $92 million Series B financing funded by a foreign strategic partner
  • Represented a laboratory equipment manufacturer and supplier in a recapitalization transaction financed by private equity
  • Represented a leading medical record retrieval company for the life insurance industry in its sale to a division of one of the world’s leading reinsurers
  • Represented a leading developer and manufacturer of infectious disease products in its sale to a private equity firm
  • Represented a leader in construction specification content and software in its sale to a global provider of software and solutions for project-based business
  • Represented a leading LSAT prep test prep company in its sale to a private equity firm
  • Represented a developer and manufacturer of a novel prescription cap device in multiple seed stage financings
  • Represented a developer and manufacturer of plant-based protein food products in multiple seed and growth stage financings and commercial contract matters
  • Represented manufacturer of sous vide prepared protein food products in multiple seed and growth stage financings and commercial contract matters
  • Represented a motion sensor, data analytics company in seed and growth stage financings
  • Represented a developer and distributor of a strategic workplace operating system in multiple seed and growth stage financings
  • Represented a provider of clinical management and pharmacy cost containment solutions in its sale to a public company
  • Represented a wholesale distributor of bulk landscape supplies in its sale to a public company
  • Represented multiple government contract entities in mergers and acquisitions and in a general counsel capacity
